1. Main difference would be "Overloading" !! - Procedure/Function overloading.

2. Packaged procedure is grouped along with logically related procedures/functions - modularity.
    =>less  communication time- run faster when called by other procedures/functions in the same package -

We can define private procedure in any package which can be called within that package only.
